Terms of Service
By accessing any Triad Holdings Group, LLC digital property, you agree to these Terms. They form a binding contract under the laws of the Commonwealth of Virginia.
§1The Parties
"THG", "we", "us", or "our" refers to Triad Holdings Group, LLC, a Virginia limited liability company in good standing with the Virginia State Corporation Commission, with principal place of business in Danville, Virginia. "You" refers to any individual or entity accessing our websites, the Sovereign Portal, or any THG-operated platform (collectively, the "Services").
§2Acceptance
Your use of the Services constitutes acceptance of these Terms, our Privacy Policy, our Acceptable Use Policy, and any role-specific agreements you sign through the Portal. If you do not agree, do not use the Services.
§3Eligibility
You must be at least 18 years of age and have the legal capacity to enter binding contracts. Staff and vendor accounts are issued only to authorized representatives.
§4Vendor & Municipal Engagements
Vendor accelerator participation, festival registrations, and municipal partnership terms are governed by the specific Statement of Work, Vendor Agreement, or Municipal Services Agreement executed between the parties. Marketing language on our public pages is descriptive, not contractual. Where a signed agreement conflicts with these Terms, the signed agreement controls.
§5Financial Subsidies & Credits
References to THG "subsidies", "institutional credits", "accelerator funding", or similar terms describe discretionary discounts and operational support offered by THG. They are not loans, grants from any government agency, securities, or tax-deductible contributions, and create no expectation of future funding. All such offers are subject to the executed Vendor Agreement and may be modified or withdrawn at THG's discretion before invoice acceptance.
§6Intellectual Property
All content, branding, software, the Sentinel security framework, the Sovereign Portal interface, and supporting documentation are the property of THG or its licensors and protected under U.S. and international copyright, trademark, and trade secret laws. You receive a limited, revocable, non-transferable license to access the Services for their intended purpose.
§7User Content
You retain ownership of content you submit (vendor submissions, photos, applications, messages). You grant THG a worldwide, royalty-free license to host, display, and process that content for the operation of the Services and the fulfillment of any agreement between us.
§8Prohibited Conduct
See the Acceptable Use Policy. Violations may result in account termination, IP banning by the Sentinel system, and referral to law enforcement.
§9AI-Generated Outputs
Several features (Sentinel Verifier, Vendor Projection Simulator, Operator chat) produce AI-generated outputs. These outputs are advisory only, may contain errors, and require human review before being relied upon for safety, financial, or legal decisions. THG does not warrant the accuracy of any AI output.
§10Disclaimers
The Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as required by law. See Disclaimers for full text.
§11Limitation of Liability
To the maximum extent permitted by law, THG's aggregate liability arising out of or relating to the Services shall not exceed the greater of (a) amounts you paid to THG in the twelve (12) months preceding the claim, or (b) USD $100. THG shall not be liable for indirect, incidental, consequential, special, or punitive damages.
§12Indemnification
You agree to indemnify and hold THG, its members, officers, employees, and affiliates harmless from any claim arising out of your breach of these Terms, your violation of law, or your infringement of any third party's rights.
§13Governing Law & Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state and federal courts located in Danville, Virginia. You waive any objection to that venue.
§14Changes to These Terms
We may update these Terms. The "Effective" date above reflects the current version. Material changes will be announced on the home page or via email at least seven (7) days before they take effect.
